Please read these Terms carefully before using ProClause. By using the app, you agree to be bound by these Terms.

ProClause is an organisational and informational tool. It does not provide legal, financial, tax, or agency advice. All figures, projections, and alerts are estimates based on the data you enter and are not a substitute for professional advice.

1About ProClause

  • ProClause is a software application designed to help professional athletes organise and track their contracts, wages, bonuses, performance statistics, and payment records.
  • ProClause is an organisational and informational tool only. It does not provide legal advice, financial advice, tax advice, or sports agency advice. Nothing within the app constitutes a legal opinion or a regulated financial service.
  • All calculations, projections, alerts, and estimates produced by ProClause are based solely on the information you enter and are provided for informational and organisational purposes only. You should always verify contract terms, payment amounts, and any financial or legal matters with your club, agent, legal representative, or qualified professional advisor.
  • ProClause Limited is a company registered in England and Wales. If you have any questions about these Terms, please contact us at support@proclause.app.

2Acceptance of Terms

  • By creating an account, accessing, or using ProClause, you agree to be bound by these Terms of Service ('Terms') and our Privacy Policy.
  • If you do not agree to these Terms, you must not use ProClause.
  • We may update these Terms from time to time. When we make material changes, we will update the 'Last Updated' date and, where appropriate, notify you by email or in-app notice. Your continued use of ProClause after any changes constitutes your acceptance of the updated Terms.
  • You must be at least 18 years of age to use ProClause. By using the app, you confirm that you meet this requirement.

3Your Account

  • You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must notify us immediately at support@proclause.app if you suspect any unauthorised access to your account.
  • You must provide accurate and up-to-date information when registering and when entering data into the app. ProClause relies entirely on the information you provide — we cannot verify the accuracy of contract details, payment records, or performance data you enter.
  • You may not share your account with any other person or use your account for any commercial purpose other than your own personal contract management.
  • We reserve the right to suspend or terminate your account if you breach these Terms, provide false information, or misuse the platform.

4Subscriptions and Payments

  • ProClause offers a free tier and a paid Pro subscription. The features available on each tier are described within the app and may be updated from time to time.
  • Pro subscriptions are available on a monthly or annual basis. Prices are displayed in the app and at checkout. All prices are inclusive of any applicable VAT.
  • Payments are processed securely by Stripe (for web checkout) or Apple (for App Store in-app purchase). ProClause does not store your payment card details.
  • Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. To cancel, you can manage your subscription from the Settings page within the app or through your App Store account settings.
  • Refunds are not provided for partial billing periods after a subscription has renewed. If you believe you have been charged in error, please contact us at support@proclause.app and we will review your case.
  • We reserve the right to change subscription pricing. We will give you reasonable notice of any price changes before they take effect. If you do not agree to a price change, you should cancel your subscription before the new price applies.

5Acceptable Use

  • You may use ProClause only for your own personal contract management purposes and in accordance with these Terms.
  • You must not use ProClause to store, transmit, or share any content that is unlawful, fraudulent, defamatory, or that infringes the intellectual property rights of any third party.
  • You must not attempt to access, reverse engineer, copy, or distribute any part of the ProClause platform, its code, or its data.
  • You must not use ProClause in any way that could damage, disable, or impair the platform or interfere with any other user's use of it.
  • You must not use automated tools, bots, or scripts to access the platform without our prior written consent.

6Intellectual Property

  • ProClause and all associated content, including its design, code, branding, and features, are owned by ProClause Limited and are protected by United Kingdom and international intellectual property laws.
  • Nothing in these Terms grants you any ownership rights over the ProClause platform or its content.
  • You retain full ownership of all contract information, performance data, and other content you enter into ProClause. By using the platform, you grant us a limited licence to store and process that data solely for the purpose of providing the service to you.
  • You may not reproduce, redistribute, or create derivative works from any part of the ProClause platform without our prior written permission.

7Disclaimers and Limitation of Liability

  • ProClause is provided 'as is' and 'as available'. To the fullest extent permitted by law, we make no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of the information provided by the app.
  • ProClause does not verify the accuracy of any contract data, payment records, or performance statistics you enter. All outputs — including earnings calculations, bonus projections, clause alerts, and payment schedules — are estimates based on the information you provide and are for informational purposes only.
  • We are not responsible for any financial loss, missed payment, contractual dispute, or any other loss or damage arising from your reliance on information produced by ProClause. You should always verify any matter of significance with your club, agent, solicitor, or qualified financial adviser.
  • To the maximum extent permitted by applicable law, ProClause's total liability to you for any claim arising from your use of the platform shall not exceed the total amount you have paid to ProClause in the 12 months preceding the claim.
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under UK law.

8Data and Privacy

  • Your use of ProClause is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read our Privacy Policy carefully to understand how we collect, use, and protect your personal data.
  • You are responsible for ensuring that any personal data you enter about third parties (such as your agent's contact details) has been shared with your permission.

9Account Deletion and Termination

  • You may delete your account at any time from within the app under Settings → Account → Delete Account. Deleting your account will permanently and irreversibly remove all your data from our systems.
  • If you have an active subscription, you should cancel it before deleting your account. Deleting your account does not automatically cancel a subscription managed through the App Store — you must cancel that separately through Apple.
  • We reserve the right to terminate or suspend access to ProClause at any time, with or without notice, if we reasonably believe you have breached these Terms or if we are required to do so by law.
  • Upon termination of your account for any reason, your licence to use ProClause ends immediately.

10Governing Law and Disputes

  • These Terms are governed by and construed in accordance with the laws of England and Wales.
  • Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  • If you have a complaint or dispute, we encourage you to contact us first at support@proclause.app so that we can try to resolve the matter informally.
